MCA has extended the due date for filing
of e Form ACTIVE (INC 22A), for disclosure of the particulars of the
companies (registered before 31 Dec. 2017) including uploading the
photographs of registered office and at least one of the directors, from
25 April 2019 to 15 June 2019, in view of representations from
stakeholders specially start-ups.
These
Rules requires companies to upload a photograph covering external view
of the registered office premises with a display board containing
certain information, like company name, corporate identity number (CIN),
address, email, contact number, etc. Further, companies are required to
upload a photograph of the internal view with at least one director of
the company who will also sign the ACTIVE
MCA
has earlier notified the e-Form INC-22A, also known as e-Form ACTIVE
(Active Company Tagging Identities and Verification) vide Companies (Incorporation) Amendment Rules, 2019:
MCA Notification dt. 21 Feb. 2019. ACTIVE
is required to be filed by 25 April 2019 to avoid late fee of Rs.
10,000. Also a company which fails to file ACTIVE would not be eligible
to make changes in capital structure, directors, registered office, etc.
and or to enter into merger or amalgamation. Also the company which
fails to comply shall be tagged as ACTIVE NON-COMPLIANT from 26 April
2019. It may be noted that these Rules have been notified by MCA as part
of the crackdown on shell companies launched by the Govt. to curb the
black money.
